Terms of Service

Effective Date: September 13, 2026

These Terms of Service (“Terms”) govern your access to and use of websites, hosting services, software, plugins, downloads, support, web design, development, maintenance, consulting, marketing services, and other products or services provided by Calico Design LLC (“Calico Design,” “we,” “us,” or “our”).

These Terms apply to CalicoDesignStudio.com, any Calico Design hosting or customer platform, and services provided directly by Calico Design.

By accessing, purchasing, or using our services, creating or maintaining an account, downloading software made available by Calico Design, or continuing to use the Calico Design platform or services after these Terms become effective, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you should not use our website, platform, hosting services, software, downloads, or other services.

1. Eligibility and Authority

You represent that you are legally capable of entering into this agreement.

If you use Calico Design services on behalf of a business, organization, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity. In that case, references to “you,” “your,” or “Customer” include that entity.

2. Our Services

Calico Design may provide services including, but not limited to:

  • Website hosting;
  • WordPress hosting and management;
  • Website design and development;
  • Website maintenance;
  • WordPress support;
  • Software and WordPress plugins;
  • Website migrations;
  • Search engine optimization;
  • Digital marketing;
  • Advertising management;
  • Analytics and reporting;
  • Technical consulting;
  • Educational content;
  • Website monitoring and security services; and
  • Other web, software, hosting, and marketing services.

The specific services provided to an individual Customer may be described in a proposal, invoice, order, service plan, statement of work, email agreement, or other written agreement.

If a separate written agreement between Calico Design and a Customer conflicts with these Terms, the separate written agreement will control with respect to the specific subject matter addressed by that agreement.

3. Changes to Services

Technology, hosting infrastructure, software, WordPress, third-party platforms, security requirements, and industry practices change frequently.

Calico Design may modify, replace, discontinue, upgrade, migrate, or otherwise change portions of the services when reasonably necessary for security, performance, compatibility, legal compliance, infrastructure management, or business operations.

We may also change the software, infrastructure, vendors, data centers, hosting technologies, or third-party services used to provide the services.

4. Account Responsibility

Customers are responsible for maintaining accurate account and contact information.

You are responsible for protecting usernames, passwords, API keys, authentication codes, and other credentials associated with your account, website, or services.

You are responsible for activity performed using credentials assigned to you or your authorized users unless the activity results directly from a security breach within systems controlled by Calico Design.

You agree to notify Calico Design promptly if you become aware of unauthorized access, compromised credentials, malware, or another security issue involving your website or account.

5. Hosting Services

Calico Design provides website hosting and related infrastructure services. Hosting environments depend on servers, networks, software, data centers, Internet service providers, third-party infrastructure, and other technologies that may occasionally experience interruptions or failures.

We work to provide reliable hosting services, but Calico Design does not guarantee uninterrupted or error-free service, continuous availability, or any specific level of uptime unless a separate written Service Level Agreement expressly provides such a guarantee.

Hosting may occasionally be unavailable because of:

  • Scheduled maintenance;
  • Emergency maintenance;
  • Software updates;
  • Hardware failure;
  • Network failure;
  • Data center issues;
  • Cyberattacks;
  • Distributed denial-of-service attacks;
  • Third-party service interruptions;
  • DNS issues;
  • Internet outages;
  • Events outside our reasonable control; or
  • Other technical circumstances.

6. Website Data and Backups

Calico Design understands the importance of protecting Customer websites and data and will use commercially reasonable efforts and backup practices intended to reduce the risk of data loss.

However, no backup system is infallible. Backup files may fail, become corrupted, be incomplete, become unavailable, or fail to restore correctly.

Calico Design does not guarantee that any website, database, file, backup, configuration, or other information stored on a hosting server can always be recovered.

Calico Design LLC is not liable for the loss, corruption, deletion, alteration, or inability to recover websites, databases, files, media, configurations, backups, or other data stored on or transmitted through hosting systems.

Customers are ultimately responsible for their own data and are strongly encouraged to maintain a current independent backup of important website files and databases in a location separate from the Calico Design hosting environment.

The availability of a Calico Design backup should never be treated as a substitute for the Customer maintaining an independent copy of important data.

Calico Design will make reasonable efforts to assist with restoration from available backups when appropriate, but successful restoration cannot be guaranteed.

7. Email Services

Calico Design does not provide or operate email hosting or mailbox storage services as part of its standard website hosting platform.

Email accounts may be provided through independent third-party services selected by the Customer, including services such as Google Workspace, Microsoft 365, or other email providers.

Calico Design may assist Customers with DNS configuration, email authentication, website email delivery, SMTP configuration, contact forms, or connections to third-party email services. Such assistance does not make Calico Design the provider or custodian of the Customer’s email.

Calico Design does not store Customer mailboxes and is not responsible for:

  • Lost email;
  • Deleted email;
  • Mailbox data loss;
  • Email provider outages;
  • Email delivery failures;
  • Spam filtering;
  • Account suspension by an email provider;
  • Mailbox storage limits;
  • Compromised third-party email accounts; or
  • Changes made by third-party email providers.

Customers are responsible for maintaining their own email accounts and any backups required for their email data.

8. Domain Names

Calico Design is not a domain registrar and does not provide domain registration services as part of its standard hosting services.

Domain names remain the responsibility of the Customer and must be maintained through the Customer’s domain registrar.

The Customer is responsible for:

  • Maintaining ownership and control of the domain;
  • Maintaining access to the registrar account;
  • Keeping contact information current;
  • Maintaining valid payment information;
  • Paying registration and renewal fees;
  • Renewing domains before expiration;
  • Responding to registrar verification requests;
  • Maintaining appropriate domain security; and
  • Ensuring the domain remains registered and active.

Calico Design may assist with DNS records, nameservers, domain configuration, transfers, or troubleshooting as a convenience to the Customer. Such assistance does not transfer responsibility for the domain to Calico Design.

Calico Design LLC is not responsible or liable for the expiration, suspension, cancellation, transfer, theft, loss, or acquisition by another party of a Customer’s domain name resulting from the Customer’s failure to maintain or renew the domain.

Loss of a domain due to expired registration, outdated billing information, failure to respond to registrar notices, loss of registrar credentials, or other Customer neglect is the responsibility of the Customer.

9. Third-Party Services

Websites frequently depend on third-party products and services that are not owned or controlled by Calico Design.

These may include:

  • WordPress;
  • WordPress plugins and themes;
  • Elementor and other page builders;
  • Payment processors;
  • Analytics platforms;
  • Advertising platforms;
  • Email providers;
  • SMTP providers;
  • Content delivery networks;
  • Security services;
  • APIs;
  • Social networks;
  • Domain registrars;
  • Booking and reservation systems;
  • Ecommerce platforms;
  • Cloud services; and
  • Other software or online services.

Calico Design cannot control the availability, functionality, pricing, policies, security, compatibility, or continued operation of third-party products or services.

A third party may change, restrict, discontinue, suspend, update, or charge for a product or service at any time.

Calico Design is not responsible for losses, interruptions, compatibility problems, data loss, or damages caused by third-party products or services.

10. Software, Plugins, Downloads, and GitHub

Calico Design may make software, source code, WordPress plugins, code examples, templates, scripts, configuration files, or other downloadable materials available through our website or through third-party platforms such as GitHub.

All software and downloadable materials are downloaded, installed, configured, modified, and used at the user’s own risk.

This applies regardless of whether the material is:

  • Downloaded directly from Calico Design;
  • Downloaded from GitHub;
  • Downloaded from another third-party repository or service;
  • Provided free of charge;
  • Provided as open-source software;
  • Created specifically for a Customer; or
  • Recommended or referenced by Calico Design.

Unless expressly stated in a separate written agreement, downloadable software is provided “as is” and “as available” without warranties of any kind.

Calico Design makes no guarantee that software, plugins, scripts, or downloads will:

  • Function without errors;
  • Remain compatible with future versions of WordPress;
  • Remain compatible with Elementor or other software;
  • Remain compatible with a particular theme or plugin;
  • Remain compatible with a particular PHP version, browser, operating system, server, or hosting environment;
  • Continue to receive updates;
  • Remain available for download;
  • Be suitable for a particular purpose; or
  • Operate without conflicts with third-party software.

Users should create a complete backup and, when appropriate, test software in a staging or development environment before installing or updating it on a production website.

Calico Design is not responsible for website errors, downtime, data loss, incompatibility, security problems, lost revenue, or other damages resulting from the installation or use of downloadable software.

11. Updates and Software Compatibility

Web software changes continuously.

Updates to WordPress, PHP, browsers, operating systems, APIs, themes, plugins, hosting environments, or third-party services may cause previously functioning software or websites to stop functioning as expected.

Unless Calico Design has a separate written maintenance obligation covering the affected software, Calico Design is not responsible for maintaining perpetual compatibility with future technologies.

Additional development, troubleshooting, replacement software, or remediation required because of third-party changes may be subject to additional fees.

12. Customer Content and Legal Compliance

Customers are responsible for all content, files, applications, software, databases, and information they place on or cause to be placed on the hosting platform.

You represent that you have the rights and permissions necessary to use, publish, store, and distribute your content.

You are responsible for ensuring that your website and business comply with applicable laws and regulations, including laws concerning:

  • Privacy and data protection;
  • Copyright and intellectual property;
  • Advertising;
  • Consumer protection;
  • Accessibility;
  • Email marketing;
  • Ecommerce;
  • Industry-specific regulations; and
  • Other laws applicable to your business.

Calico Design does not provide legal advice, and the availability of a website, plugin, feature, template, or recommendation should not be interpreted as confirmation that the Customer’s use of it complies with applicable law.

13. Acceptable Use

Customers may not use Calico Design services for unlawful, abusive, fraudulent, malicious, or harmful activities.

Prohibited activities include, but are not limited to:

  • Distributing malware, ransomware, viruses, or malicious code;
  • Phishing or credential theft;
  • Sending unsolicited bulk spam;
  • Attempting unauthorized access to systems or accounts;
  • Launching or facilitating attacks against networks or websites;
  • Hosting content that violates applicable law;
  • Infringing intellectual property rights;
  • Using the platform to facilitate fraud;
  • Intentionally consuming excessive server resources in a manner that materially affects other customers;
  • Attempting to bypass security or resource restrictions; or
  • Using the services in a manner that threatens the security, reputation, reliability, or operation of Calico Design’s infrastructure.

Calico Design reserves the right to investigate suspected abuse and take reasonable action necessary to protect our infrastructure, Customers, service providers, and third parties.

14. Security and Compromised Websites

Calico Design may take reasonable action to protect hosting infrastructure when a website is compromised, infected with malware, attacking other systems, consuming excessive resources, or otherwise creating a security risk.

This may include temporarily restricting access, disabling functionality, quarantining files, blocking traffic, disabling plugins, changing credentials, or suspending a website until the security issue can be addressed.

Whenever reasonably practical, we will attempt to communicate with the Customer regarding significant actions affecting their website.

Calico Design is not liable for losses resulting from reasonable security measures taken in good faith to protect the Customer, other Customers, our infrastructure, or third parties.

15. Resource Usage

Hosting plans may be subject to reasonable technical limits involving storage, bandwidth, processing, memory, database usage, traffic, file counts, backup storage, or other resources.

If a website materially exceeds the resources appropriate for its hosting environment, Calico Design may request optimization, recommend or require an upgraded hosting plan, limit resource usage, or migrate the website to a more appropriate environment.

16. Fees, Billing, and Renewals

Customers agree to pay applicable fees for services according to the pricing, invoice, proposal, subscription, or service agreement associated with their account.

Recurring services may renew automatically where disclosed at the time of purchase or established through an ongoing service agreement.

Customers are responsible for maintaining current billing and payment information.

Failure to pay amounts when due may result in suspension or termination of services.

Unless otherwise required by law or stated in a separate agreement, fees already earned or incurred are non-refundable.

17. Suspension and Termination

Calico Design may suspend, restrict, or terminate services when reasonably necessary because of:

  • Nonpayment;
  • Violation of these Terms;
  • Illegal activity;
  • Security threats;
  • Abuse of the hosting platform;
  • Excessive resource consumption;
  • Fraud;
  • Government or legal requirements;
  • Threats to Calico Design infrastructure or other Customers; or
  • Other material breaches of a Customer’s agreement with Calico Design.

When reasonably possible, Calico Design will attempt to provide notice and an opportunity to resolve the issue before termination. Immediate suspension may be necessary for security, legal, abuse, or emergency situations.

18. Cancellation, Termination, and Customer Data

Customers are responsible for obtaining copies of any website files, databases, media, configurations, or other information they wish to retain before terminating hosting services.

Once hosting services are canceled or terminated, recovery of any website, database, file, backup, media, configuration, or other hosted data is not guaranteed.

Calico Design may remove Customer websites and data from active hosting systems at any time after cancellation or termination in accordance with our normal operational practices.

Some information may temporarily remain in backups, archives, logs, or disaster recovery systems until those systems are overwritten or deleted through normal retention processes. The existence of such copies does not mean that the data can or will be restored for the Customer.

Calico Design LLC is not responsible for maintaining, preserving, restoring, or providing access to Customer data after hosting services have been canceled or terminated.

Customers should create and securely retain a complete independent backup of any website or data they wish to keep before canceling hosting services.

19. Marketing, SEO, Advertising, and Business Results

Calico Design may provide website design, SEO, digital marketing, advertising, analytics, consulting, and related services intended to help Customers improve their online presence.

No particular business result is guaranteed.

Calico Design does not guarantee:

  • Search engine rankings;
  • Website traffic;
  • Leads;
  • Sales;
  • Revenue;
  • Advertising performance;
  • Conversion rates;
  • Social media performance;
  • Search engine inclusion;
  • AI search recommendations; or
  • Any specific financial or commercial outcome.

Search engines, advertising platforms, social networks, AI systems, and other third-party platforms independently control their algorithms, policies, rankings, advertising systems, and recommendations.

Calico Design LLC cannot be held liable for a Customer’s gain or loss of revenue, profit, customers, opportunities, reputation, search visibility, or business resulting from a website, hosting service, marketing campaign, software installation, plugin, recommendation, platform change, outage, or other service.

20. Advice, Tutorials, Blogs, Videos, and Recommendations

Calico Design publishes educational materials and may provide suggestions or recommendations through:

  • Blog posts;
  • Videos;
  • Tutorials;
  • Social media;
  • Email;
  • Meetings;
  • Telephone conversations;
  • Technical support;
  • Consultations;
  • Training;
  • Documentation; and
  • Other communications.

Technology and digital marketing change quickly. Information that was accurate when published or communicated may later become outdated because of software updates, platform changes, search engine changes, security developments, regulatory changes, or other circumstances.

Information, advice, recommendations, tutorials, and educational content provided by Calico Design are provided for general informational purposes and are ultimately subject to the Customer’s own judgment and interpretation.

Customers are responsible for deciding whether and how to implement any recommendation.

Calico Design does not guarantee that advice or recommendations will produce a particular result or be appropriate for every website, business, hosting environment, or situation.

To the fullest extent permitted by law, Calico Design is not liable for website damage, business interruption, loss of rankings, loss of traffic, loss of data, loss of revenue, loss of customers, reputational damage, software conflicts, or other losses resulting from a Customer’s implementation or interpretation of information or advice provided by Calico Design.

21. Customer Changes and Third-Party Modifications

Customers may have administrative access to their websites and may install plugins, modify settings, edit files, change DNS records, add users, install software, or otherwise modify their website or connected services.

Calico Design is not responsible for problems caused by changes made by the Customer, the Customer’s employees, contractors, vendors, third-party developers, automated software, or other persons outside Calico Design’s control.

Repairing problems resulting from such changes may be subject to additional fees.

22. Intellectual Property

Customers retain ownership of content and intellectual property they provide to Calico Design, subject to any rights necessary for Calico Design to perform the requested services.

Unless otherwise agreed in writing, Calico Design retains ownership of its pre-existing intellectual property, processes, methodologies, reusable code, software, plugins, tools, systems, documentation, templates, know-how, and other materials developed independently of a specific Customer project.

Third-party software remains subject to the licenses and terms established by its respective owners.

23. Confidentiality

In providing services, Calico Design and the Customer may receive non-public business, technical, account, or operational information from one another.

Each party agrees to use reasonable care to protect confidential information and to use such information only as reasonably necessary to perform or receive the services, except where disclosure is required by law or authorized by the party that provided the information.

24. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CALICO DESIGN’S WEBSITE, HOSTING PLATFORM, SOFTWARE, DOWNLOADS, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

Except where expressly stated in a separate written agreement, Calico Design disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, compatibility, security, and uninterrupted or error-free operation.

25. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CALICO DESIGN LLC AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

This includes, without limitation:

  • Loss of profits or revenue;
  • Loss of business;
  • Loss of customers;
  • Loss of opportunities;
  • Loss of goodwill or reputation;
  • Loss of website traffic;
  • Loss of search rankings;
  • Loss or corruption of data;
  • Loss of email;
  • Domain loss;
  • Business interruption;
  • Software incompatibility;
  • Third-party service failures;
  • Security incidents; and
  • Costs associated with replacement services.

These limitations apply regardless of the legal theory asserted and even if Calico Design has been advised of the possibility of such damages.

To the fullest extent permitted by law, Calico Design LLC’s total aggregate liability arising out of or relating to the services will not exceed the amount actually paid by the Customer to Calico Design for the specific service giving rise to the claim during the six (6) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, these provisions will apply only to the maximum extent permitted by law.

26. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Calico Design LLC and its owners, members, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and reasonable legal fees arising from or relating to:

  • Your use of the services;
  • Your website or Customer content;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your infringement of another person’s intellectual property, privacy, or other rights;
  • Products or services offered through your website;
  • Activities conducted through your account; or
  • Your misuse of Calico Design’s hosting platform, software, or services.

27. Force Majeure

Calico Design will not be liable for delay, interruption, or failure to perform resulting from circumstances beyond our reasonable control.

Such circumstances may include natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, labor disputes, government action, utility failures, Internet outages, data center failures, widespread cyberattacks, telecommunications failures, pandemics, supply shortages, or failures of third-party infrastructure.

28. Privacy and Data Processing

Our collection and use of personal information is described in the Calico Design Privacy Policy.

Customers are responsible for maintaining appropriate privacy policies and complying with privacy and data protection laws applicable to their own websites and businesses.

Where Calico Design processes personal information solely on behalf of a Customer through hosting or related services, additional data processing terms may apply.

29. Changes to These Terms

Calico Design may update these Terms periodically to reflect changes in our services, technology, hosting platform, business practices, legal requirements, or other circumstances.

The effective date at the top of this page will identify the current version.

Material changes may also be communicated through our website, hosting platform, customer portal, email, or another reasonable method.

Your continued access to or use of the Calico Design website, hosting platform, account, software, or services after updated Terms become effective constitutes your acceptance of the updated Terms to the extent permitted by applicable law.

If you do not agree to updated Terms, you must discontinue use of the affected services and cancel them in accordance with any applicable cancellation requirements.

30. Governing Law

These Terms and any dispute arising from or relating to them or the services will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Unless another written agreement provides otherwise, any legal action arising from these Terms or the services shall be brought in a court of competent jurisdiction located in Florida, and the parties consent to the jurisdiction of such courts.

31. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.

32. No Waiver

Calico Design’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

33. Entire Agreement

These Terms, together with our Privacy Policy and any applicable proposal, invoice, order, statement of work, service agreement, Data Processing Addendum, Acceptable Use Policy, or other agreement expressly incorporated by reference, constitute the agreement between Calico Design and the Customer concerning the applicable services.
